The Wilkerson Parent Teacher Organization has recently updated its bylaws to ensure they align with our current goals, responsibilities, and best practices for supporting our school community. These revisions were carefully reviewed and approved to better reflect the structure and operation of our organization. We invite all members of our Wildcat family to review the updated bylaws below:

 

WILKERSON INTERMEDIATE SCHOOL PARENT-TEACHER ORGANIZATION BYLAWS

 

Wilkerson Parent Teacher Organization Mission Statement:

 

Our mission is to foster a collaborative partnership between parents, teachers, and the Wilkerson Intermediate School community. We are dedicated to supporting the school’s teaching staff and students by promoting effective communication, encouraging the highest achievements in academic, physical, social, and spiritual growth, and engaging in meaningful fundraising efforts. Through these efforts, we aim to create a strong sense of community and pride among all Wilkerson Intermediate families.

 

ARTICLE I: NAME 

The name of this organization shall be the Wilkerson Intermediate Parent-Teacher Organization, hereafter referred to as the Wilkerson PTO, a local, self-governing unit.

 

ARTICLE II: ORGANIZATION

SECTION 1:

This organization is organized exclusively for charitable and education purposes within the meaning of Section 501 (c)(3) of the Internal Revenue Code or corresponding section of any future Federal tax code.

 

SECTION 2:

This organization is nonpartisan, noncommercial, and nonsectarian. All of its actions and decisions should be taken and made without regard to race, color, creed, sex, or national origin.

 

SECTION 3:

Robert's Rules of Order Newly Revised shall govern all meetings of this organization in which they are applicable and in which they are not in conflict with these by-laws.

 

SECTION 4 :

The fiscal year of this organization shall run from July 1st to June 30th.

 

SECTION 5:

  DEFINITIONS

  1. General membership shall include all parents, grandparents, and guardians of Wilkerson students who registered with Wilkerson PTO.  Membership requirements (free or appropriate dues) will be decided on by the Elected Officers.
  2. The general voting membership shall include all parents, grandparents, and guardians of Wilkerson students, as well as all Wilkerson faculty, and staff who have completed and paid the annual PTO Membership form.
  3. Officers shall be the President, 1st Vice-President of Fundraising; 2ndVice-President of Communications; 3rdVice-President of Membership; Vice-President of Volunteering; Secretary; Treasurer; Parliamentarian; Vice-President of 5th grade parent; and Vice-President of 6th grade parent.
  4. The Executive Board shall consist of the Officers and the Principal. The Board shall consist of the Executive Board and Chairman of Standing Committees.
  5. Standing Committees shall be those committees who exist for the entire year. Teacher Appreciation Committee, Hispanic Involvement Committee, Spirit Committee. General PTO voting shall elect a chairperson for each Committee

 

ARTICLE III: OBJECTIVES

The objectives of the Wilkerson PTO are:

  1. To assist in coordinating parent efforts in supporting Wilkerson Intermediate School, its teaching staff, and its students.
  2. To develop between teachers and the Wilkerson PTO such communication as to encourage the highest achievements in academic, physical, social and spiritual education.
  3. To engage in fundraising activities for the benefit of Wilkerson Intermediate School, its children and its faculty and staff, and for the promotion of its objectives.
  4. Create a sense of community and pride amongst the Wilkerson Intermediate families.



ARTICLE IV: MEMBERSHIP AND DUES 

 

SECTION 1:

Membership in the Wilkerson PTO shall be made available to all parents, grandparents and guardians of Wilkerson students and to all Wilkerson faculty and staff.

 

SECTION 2:

There shall only be voting forms of membership. Voting memberships shall be based upon the registration with Wilkerson PTO. Only voting members shall be eligible to serve in any of the Wilkerson PTO's elective or appointed positions or to vote on any issues presented to the general membership. However, anyone may attend and participate in the discussion at any Wilkerson PTO meetings.

 

SECTION 3:

The organization shall conduct an annual enrollment of members, but persons may be admitted to the membership at any time. 

 

SECTION 4:

The Board of the Wilkerson PTO shall determine the amount of dues, if any, to be charged for voting membership rights.



ARTICLE V: OFFICERS AND THEIR ELECTION

SECTION 1:

All Board members of the Wilkerson PTO must be registered voting members of the Wilkerson PTO.

  1. The officers of the Wilkerson PTO shall be Officers shall be the President, 1st Vice-President; 2ndVice-President; 3rdVice-President.
  2. The Board members shall be elected annually by ballot of the voting memberships at a meeting of the general membership. They shall serve for a term of one year, but shall continue serving until successors are elected and qualified.  If there is only one candidate for an office, the election may  be  majority voice  vote from the assembly floor. If there is more than one person nominated for a specific office, a ballot election shall be held.
  3. Board members shall assume their official duties July 1st and shall serve for a term of one year.
  4. No Board member shall be eligible to serve in the same position for more than two consecutive years. Service of one-half year shall constitute one full year.

SECTION 2:

A Nominating Committee consisting of three or five (3 or 5) voting members shall make nominations for Board members. The Board shall select the Nominating Committee and its chairperson. The Committee shall report to the Board at least one month prior to the installation of Officers and submit its slate of nominations for approval by the Board.

 

SECTION 3:

Following approval of the Board, the report of the Nominating Committee shall be made at the last meeting of the general membership. At that time an opportunity shall be given for nominations from the floor. Only those who have consented to serve if elected shall be eligible for nomination either by the Committee or from the floor.

SECTION 4:

Election of Officers shall be held at the last general membership meeting of the school year. 

 

SECTION 5:

A person elected by a majority vote of the Board shall fill a vacancy occurring in an office for the remaining term. When the office of President is vacant, duties of the President shall be assumed by the Vice-president(s), in order of succession. (i.e. 1st Vice-president, 2nd Vice- president, 3rd Vice-president)

 

SECTION 6:

Persons who have previously served on the Board as an Officer or Standing Committee Chairman have priority to be nominated for the office of President.



ARTICLE VI: DUTIES OF THE OFFICERS 

SECTION 1:

The President shall preside at all meetings of Wilkerson PTO and the Board; shall be a member ex-officio of all committees, and shall coordinate the work of the Officers and committees. Interacts with the Principal and responds to the needs and concerns of committees and the school. The President shall update the catalog of the Wildcat Spirit Store as needed.

 

SECTION 2:

The 1st Vice-president (Fundraising) shall act as an aide to the President; Shall be in charge of Ways and Means; is responsible for designing and overseeing fundraising activities. This includes planning and implementing fall and spring fundraisers.

 

SECTION 3:

The 2nd Vice-president (Communications/Membership) Shall be in charge of Communications updating the website and supporting the President with social Media. Membership; shall conduct at least one yearly membership campaign; shall maintain the current roster of all voting PTO memberships; shall perform other duties as designated; shall work with the Spirit Chair in promoting Wilkerson pride and inclusion. 

 

SECTION 4:

The 3rd Vice-president (Volunteers) is responsible for soliciting and coordinating parent volunteers for events throughout the school year, as well as coordinating and assisting committee chairs. shall train volunteers as needed for PTO events. Shall update the Birthday Marquee as needed.

 

SECTION 5:

The Treasurer shall be responsible for maintaining an accurate record of all receipts and expenditures of the Wilkerson PTO and shall pay out funds as authorized by the Executive Board; Is responsible for preparing the PTO budget, collecting fundraising monies, paying bills, keeping an updated monthly balance, shall have an available and present a financial statement at each meeting; shall make a full report at the final meeting of the school year, to be duly recorded in a permanent record book; shall file the quarterly sales tax returns (if needed) and the annual IRS 990/990 EZ on a timely basis. Shall provide information for the CISD audit.

 

SECTION 6:

The Secretary shall help updating website and social media, record  the minutes of all meetings of Wilkerson PTO and of the Executive Board; shall make minutes public to PTO members (via email or uploading them to the website); shall handle all correspondence (checking the PTO school mailbox); The Secretary shall help VP of Communications and President updating Social Media platforms information and any other platform, such as the website, about Spirit Nights, special and fundraising events, and any other calendar items parents may need to be aware of. 

 

SECTION 7: 

The VP of 6th grade parent shall be responsible for maintaining the activities pertaining to 6th grade students and faculty. Will work closely with the members of the board to execute the events planned. May also be responsible for end of year 6th grade outgoing shirt orders.

 

SECTION 8:

The VP of 5th grade parent shall be responsible for maintaining the activities pertaining to 5th grade students and faculty. Will work closely with the members of the board to execute the events planned.

 

SECTION 9:

The Parliamentarian shall be appointed by the President; shall be responsible for the questions concerning parliamentary laws and matters of procedure; shall enforce the provisions of the by-laws; and shall head any by-law revision committee.

 

SECTION 10:

Board Members shall deliver to their successors all official material and any notes that would be helpful to the incoming Board members at a joint meeting of the outgoing and incoming Boards.

 

ARTICLE VII: PTO BOARD  

SECTION 1:

The Executive Board shall consist of the Officers of the Wilkerson PTO and the Principal or Assistant Principal.

 

SECTION 2:

The duties of the Board shall be:

  1. To transact necessary business in the intervals between meetings of the Wilkerson PTO general membership said business to include the paying of bills within budgetary limits incurred in pursuit of the objectives of the organization.
  2. To create and approve plans of work for all standing and special committees.
  3. To present or make available written reports at the meetings of the general membership.
  4. To prepare and approve a budget for the fiscal year which shall be presented to the general voting membership for its approval.
  5. To approve any matter involving the collection, raising, or expenditure of money or donations.
  6. To approve any proposed event sponsored by the Wilkerson PTO, prior to approval for said event having been obtained from the Principal or Assistant Principal.
  7. To appoint and approve members of the audit committee, said committee consisting of not less than three members, which shall at the conclusion of each fiscal year audit the Treasurer's accounts and record books, or the Board may hire an outside licensed service.
  8. To determine the amount of dues, if any, to be paid by voting members.

To adopt the Standing Rules.

 

SECTION 3:

The Board shall meet once per month, the day to be determined by the Executive Board. The President, Principal or a majority of the members of the Board may call special  meetings  of the Board. At all meetings of the Board, half of the Board members  plus one shall constitute a quorum. In the event that a quorum is not present, a majority of the Executive Board can constitute a quorum if a decision must be made before the next Board Meeting. Board meetings are open to all Wilkerson PTO members, but only Board Members may vote. Where votes are required, a majority must approve issues. The President may take a vote by telephone or email when a decision is needed before the next regularly scheduled Board meeting.

 

SECTION 4:

Any member of the Board missing three (3) consecutive meetings may be removed from the office. Special cases shall be decided at the discretion of the Board.  Members of the Board are expected to contact the President prior to the Board meetings if they will not be able to attend.

 

ARTICLE VIII: MEETINGS 

SECTION 1:

There shall be a minimum of three (3} general Wilkerson PTO meetings per school year, including one in the fall for approval of the budget and  one  in  the spring  for election  of officers. All meetings must be approved by the Executive Board, in conjunction with input and approval of the Principal.

 

SECTION 2:

Special meetings of the Wilkerson PTO may be called by the President or by a majority of the Executive Board with one (1) week notice being given to the general membership, and the purpose of the meeting being stated through the necessary channels of communications.

 

SECTION 3:

Within 60 days prior to the last day of school, the PTO shall meet for the purpose of the election of Board members.

 

SECTION 4:

Action of the Board or general membership shall be based on a motion with a second, followed by a general discussion and vote. A quorum at properly called general meetings of Wilkerson PTO shall be five (5) voting members. A majority vote of the voting members

present will be required to pass any business before the general membership of Wilkerson PTO.

 

SECTION 5:

Election of Board members, approval of the budget for the fiscal year, and amendments to the by-laws must be voted on by the general voting membership of the Wilkerson PTO at a properly called meeting.

 

ARTICLE IX: STANDING AND SPECIAL COMMITTEES 

 

SECTION 1:

Any members of the Wilkerson PTO general membership shall be eligible to serve on Standing and Special Committees.

 

SECTION 2:

The Board may create such Standing Committees as are necessary to carry out the work of the Wilkerson PTO. Said committees shall include, but not be limited to the following: Staff Recognition/Teacher Appreciation, Spirit Night, Library Liaison and Hispanic Liaison.

  • Staff Recognition/Teacher Appreciation: Organizing one luncheon/breakfast a month, Staff Appreciation Week, hospitality cards/condolences/celebrations/birthdays for teachers and staff.
  • Spirit Night/Chair: Responsible for setting up family nights with restaurants and other local businesses approximately 4-5 times during the school year.  This includes distributing materials to students and teachers and collecting and turning funds over to the Treasurer. 
  • Library Liaison: Shall coordinate volunteers as needed for the Wilkerson Library and serve as liaison between the librarian and PTO.
  • Hispanic Liaison: The Hispanic Liaison serves as a vital bridge between the school’s Parent Teacher Organization and Spanish-speaking families within the community. This role ensures that Hispanic families are informed, welcomed, and actively involved in school events, programs, and decision-making processes. The liaison promotes inclusive communication, encourages parent participation, and helps build a culturally responsive school environment.

SECTION 3:

The Principal and/or Assistant Principal shall serve as member-at-large of the Executive Board and all Standing Committees.

 

SECTION 4:

Each Standing Committee Chairperson shall present a plan of work to the Board and Principal for approval.

 

SECTION 5:

A Special Committee is created and appointed for a specific purpose. Its chairman shall be approved by the Board. When its final report and work are complete, the committee automatically ceases to exist.

 

SECTION 6:

The Board may terminate any committee when it no longer serves a useful purpose. 

SECTION 7:

No Committee Chairman shall be eligible to serve as chairman of the same committee for

more than two consecutive years; without special approval by the Board. Service of one-half year shall constitute one full year.

 

ARTICLE X: AMENDMENTS 

SECTION 1:

Any amendments or revisions to these by-laws shall be proposed in writing and read at a general membership meeting. There shall be seven (7) days written notice given to the general membership prior to the vote.

 

SECTION 2: 

Any amendments or revisions to the existing by-laws shall be approved by a majority vote of the general voting membership present at a properly called meeting.
